Providing full legal advice and assistance to one of the most important non-banking financial institution in Romania with respect to its complex insolvency procedure involving receivables exceeding EUR 100,000,000, claimed by five major banks and by other local or international creditors. Our mandate included the renegotiation of all the pending contracts, reviewing and improving the employment structure, identifying and negotiating with potential investors, preparing the reorganization strategy and representing the company in a multitude of litigations for recovering assets and receivables with an aggregate amount of more than EUR 40,000,000.

Advising a leading multinational company, active in the industrial services area, with respect to a wide range of legal issues, including on various commercial contracts, conclusion of the collective bargaining agreement at company level, reviewing individual employment agreements, professional assessment of employees, professional training, working remote, termination of employment agreements, disciplinary procedure and protection of employees’ personal data.

Restructuring & Investments

Appointed by three leading banks from Romania as judicial administrator for one of the most important local ice-cream producers. The mandate includes performing an extensive legal and business due diligence, revising all the pending commercial contracts, reviewing and improving the employment structure of the company, identifying potential investors and negotiating the investment terms, supervising the day-to-day business activity of the company and drafting a restructuring plan.

Acquisitions

Assisting the local subsidiary of one of the biggest food conglomerates in world with respect to the acquisition of a slaughterhouse in Romania from one of the most important players in the Romanian food sector. The mandate included performing a legal due diligence with respect to the ownership titles over the assets and extensive negotiations with the seller and the financing bank.

Real Estate & Distressed Assets Acquisition

Assisting an important Israeli investor with respect to the acquisition of a residential project located in Bucharest from a developer under the insolvency procedure. The mandate included performing a legal due diligence on the credit agreements and the other titles of the secured creditor (a major local bank), a legal due diligence on the ownership titles, building permits and other titles of the insolvent company, an in-depth review of the status of the insolvency procedure  as well as negotiations with the relevant stakeholders and preparing the transaction documentation.

Labour Disputes

Assisting the General Manager of a multinational company active in the IT&C sector during the negotiations conducted with the majority shareholder with respect to the termination of the employment and management agreements. The mandate also included representation before the courts  with respect to the cancellation of several GMS Decisions on corporate restructuring matters.  

Corporate & Commercial

Assisting an important alternative provider of integrated IT&C services from Romania with respect to a corporate restructuring process, involving the withdrawal of a major shareholder and the partial transfer of business to a third party.

Reorganization Strategies

Assisting the second largest bank by assets in Romania, by providing an expert opinions with respect to the legality and feasibility of the Reorganization Plans submitted by various debtors subject to the insolvency procedure.

Debts Recovery

Assisting one of the largest beer producer in Romania, the local subsidiary of a multinational company, on various day-to-day legal issues, including with respect to the recovery of important receivables due by its business partners.

Sports

Providing full legal advice and assistance with respect to the negotiation and signing of a sports management agreement by a top Romanian tennis player with a leading multinational sport marketing agency.

Litigations and Corporate Restructuring

Assisting the main shareholder of a leading construction company from Romania in the disputes with the other shareholder for preserving the control over the company. The mandate included assistance during complex negotiations, advice on various corporate restructuring strategies and legal representation with respect to employment litigations.

Assisting a major Israeli developer with respect to the acquisition of several land plots from Bucharest for the purpose of developing an extensive real estate project.
